All services are subject to separate project agreements, quotations, or service contracts.

3. Service Agreements

  • 1. All projects shall commence only upon written confirmation through quotation approval, agreement, or purchase order.
  • 2. Project timelines are subject to timely client approvals, content submissions, and technical requirements.
  • 3. Any work requested beyond the agreed project scope will be billed separately.
  • 4. Annual Maintenance Contracts (AMC) must be renewed on an annual basis unless otherwise stated.

4. Payment Terms

  • 1. Advance payment is required before starting any project unless otherwise agreed.
  • 2. Milestone-based payments may apply for large projects.
  • 3. Delayed payments may result in:
    • Service suspension
    • Hosting or server downtime
    • Additional late fees
  • 4. All payments are non-refundable once work has commenced.

5. Intellectual Property

  • Custom-developed software remains the property of the client after full payment.
  • TSP Digital retains rights to reuse non-confidential code frameworks.
  • Third-party licenses (hosting, plugins, APIs, etc.) remain subject to respective vendor terms.

6. Cloud Hosting & Server Responsibility

  • 1. TSP Digital provides hosting through trusted data centers and third-party cloud providers.
  • 2. We are not liable for downtime caused by:
    • Data center failures
    • Internet service interruptions
    • Cyberattacks
    • Natural disasters
  • 3. Clients are responsible for:
    • Content legality
    • Backup approvals (unless included in the service plan)

7. Data Security

We implement industry-standard security practices. However, we do not guarantee 100% protection from cyber threats. Clients are advised to maintain independent backups.

8. Limitation of Liability

TSP Digital shall not be liable for:

  • Loss of profits
  • Business interruption
  • Data loss beyond the agreed backup scope
  • Indirect or consequential damages

Our maximum liability shall not exceed the amount paid for the specific service.

9. Termination

We reserve the right to terminate services if:

  • Payments are overdue
  • Client violates laws
  • Services are misused for illegal activities

Clients may terminate services with written notice, subject to settlement of dues.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Pune, Maharashtra.
